Terms of Use

1. Acceptance of Terms

By accessing or using the Joldi Tech platform at jolditech.com ("the Platform"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Platform.

2. About the Platform

Joldi Tech is a software-as-a-service (SaaS) platform that provides businesses with tools for commerce, inventory management, helpdesk, messaging, HR, and marketing. Users can create and manage their own stores, websites, and business operations through the Platform.

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Platform. By creating an account, you represent that you meet these requirements.

4. Account Registration

When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

5. Free and Paid Plans

The Platform offers a free tier with limited features and paid subscription plans with additional capabilities. Details of available plans and pricing are published on our website and may be updated from time to time.

For paid plans:

  • Fees are billed in advance on a recurring basis as specified at the time of purchase.
  • All fees are non-refundable unless otherwise stated or required by applicable law.
  • We reserve the right to change pricing with reasonable prior notice. Continued use of a paid plan after a price change constitutes acceptance of the new pricing.
  • If payment fails or is not received, we may suspend or downgrade your account.

6. User Content

You retain ownership of all content, data, and materials you create, upload, or publish through the Platform ("User Content"). By using the Platform, you grant us a limited, non-exclusive licence to host, store, and display your User Content solely for the purpose of operating and providing the Platform to you.

You are solely responsible for your User Content. You agree that your User Content will not:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property or rights of any third party
  • Contain material that is defamatory, obscene, abusive, or harmful
  • Include malware, spam, or any form of malicious code
  • Mislead or defraud customers or end-users of your store or site

We reserve the right to remove or disable access to any User Content that violates these terms, without prior notice.

7. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Attempt to gain unauthorised access to any part of the Platform or its systems
  • Interfere with or disrupt the integrity or performance of the Platform
  • Reverse-engineer, decompile, or disassemble any part of the Platform
  • Resell or redistribute access to the Platform without our written consent
  • Use the Platform to send unsolicited communications in violation of applicable laws

8. Intellectual Property

The Platform, including its design, code, features, logos, and documentation, is the property of Joldi Technologies Private Limited and is protected by applicable intellectual property laws. Nothing in these terms grants you any right to use our branding or trademarks without prior written permission.

9. Third-Party Services

The Platform may integrate with or link to third-party services such as payment processors, shipping providers, and analytics tools. Your use of such services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or practices of any third-party services.

10. Availability and Modifications

We strive to keep the Platform available and reliable but do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue any part of the Platform at any time with reasonable notice where possible.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Joldi Technologies Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Platform.

Our total liability for any claim arising from these terms or your use of the Platform shall not exceed the amount you have paid to us in the twelve months preceding the claim, or INR 5,000, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Joldi Technologies Private Limited, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Platform, your User Content, or your violation of these terms.

13. Termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access if you violate these terms or if we are required to do so by law. Upon termination, your right to use the Platform ceases immediately. We may retain your data for a reasonable period as required by law or legitimate business purposes.

14. Governing Law and Disputes

These terms are governed by the laws of India. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

15. Changes to These Terms

We may update these Terms of Use from time to time. Material changes will be communicated through the Platform or via email. Continued use of the Platform after changes take effect constitutes acceptance of the revised terms.
